1. Introduction
These Terms and Conditions (“Terms”) govern your access to and use of services provided by WebSavian Solutions LTD (“WebSavian,” “we,” “us,” or “our”). By engaging our services, you (“Client,” “you,” or “your”) agree to be bound by these Terms.
2. Scope of Services
We offer the following core services:
- Hosting and Domain Purchase/Management
- Website and App Design and Development
- Website and App Maintenance and Support
- Branding (Logo Design, Brand Guidelines, Mockups)
- Digital Marketing (Social Media, SEO, Paid Ads, Content Creation)
- Digital Auditing
Other service packages include:
- Digital Business Setup (₦95,000)
- Full Digital Formation Program (₦500,000 value, discounted for cohort promos)
3. Payments and Invoicing
- Most projects may require a 70–100% upfront payment before commencement.
- Some large Projects may be split into payment milestones: 50% upfront, 30% midway, and 20% upon final delivery.
- Milestone-based projects will be paused if payment is delayed beyond:
- 3 days (with no notice from client), or
- 5 days (with client notice)
- Invoices unpaid after 5 calendar days from the due date shall incur a 2% daily penalty until resolved.
- Final deliverables will not be released until full payment is received.
4. Refund Policy
- Refunds are only available if no substantial work has begun.
- Payments for services such as consultations, domain/hosting, branding, or design/development after initiation are non-refundable.
- Partial refunds may be issued at WebSavian’s sole discretion.
5. Client Responsibilities
- Clients shall provide all content, including logos, text, images, videos, and access credentials necessary to complete the project.
- Materials must be submitted within 24 hours of request unless otherwise agreed.
- Clients may appoint a dedicated contact person for communication.
- WebSavian shall not be liable for delays resulting from late content, feedback, or approvals.
6. Communication and Support
- Official communication platforms include WebSavian Connect, email, WhatsApp, and phone.
- Clients should use WebSavian Connect for project updates.
- We guarantee a response within 24 business hours.
- Office Hours: Mon–Fri (9AM–5PM), Sat (9AM–3PM), Closed Sunday.
- Online support (WebSavian Connect & WhatsApp) is available 24/7.
7. Timelines and Deadlines
- All timelines are estimates and not binding deadlines.
- Changes in scope or delay in client input may affect delivery timelines.
8. Intellectual Property and Portfolio Rights
- Ownership of deliverables is transferred only after full payment is made.
- WebSavian retains the rights to showcase deliverables in its portfolio.
- We may reuse proprietary code, templates, and designs in future projects.
- Clients may modify deliverables after the final handover, but we are not liable for any issue that may arise because of modification from the client’s third party.
9. Limitation of Liability
- WebSavian is not liable for indirect, incidental, or consequential damages.
- We do not guarantee outcomes such as increased traffic, conversions, or social media engagement due to external factors (e.g., algorithm changes, and client behaviour).
- Our total liability shall not exceed the amount paid by the client for the service in dispute.
10. Termination and Suspension
- Either party may terminate a project due to a breach of these Terms, mutual agreement, or prolonged inactivity.
- Services may be suspended for:
- Non-payment
- Misconduct or breach of policy
- Inactivity or lack of client communication
- After termination, client data on WebSavian Connect remains accessible. Other assets stored externally will be deleted after 45 days if not requested.
11. Refusal of Service
- WebSavian reserves the right to refuse or terminate service to any client due to scope misalignment, unethical behaviour, or breach of the agreement.
12. Dispute Resolution and Governing Law
- Parties agree to first seek resolution through direct negotiation.
- Unresolved disputes shall be resolved by mediation or arbitration in Lagos, Nigeria.
- These Terms are governed by the laws of the Federal Republic of Nigeria.
13. Amendments
- WebSavian may update these Terms at any time.
- Continued use of services constitutes acceptance of the updated Terms.
